1. Eligibility

You must be at least 21 years of age and acting on behalf of a qualified laboratory, academic institution, or business entity engaged in lawful research to purchase from Athena Labs. Orders may be screened and cancelled if we cannot verify eligibility.

2. Research Use Only

All materials sold by Athena Labs are supplied strictly for in-vitro research use only. Products are not drugs, food, cosmetics, or medical devices and are not for human or animal consumption, diagnosis, cure, mitigation, treatment, or prevention of any disease.

You represent that you will handle, store, and dispose of all materials in accordance with applicable federal, state, and local laws and institutional safety standards.

3. Orders and Acceptance

Placing an order constitutes an offer to purchase. Athena Labs may accept, decline, limit, or cancel any order in its sole discretion, including for suspected fraud, ineligibility, stock issues, pricing errors, or non-compliance with these Terms.

4. Pricing and Payment

• Prices are listed in U.S. Dollars and may change without notice.
• Payment is due in full at the time of order.
• Manual payment methods (Zelle, Venmo, Cash App) require the Order Code in the memo. Orders will not ship until payment is confirmed.
• You are responsible for any applicable sales tax.

5. Prohibited Uses

You agree not to:

• Administer or resell any product for human or animal consumption.
• Represent any product as a drug, dietary supplement, cosmetic, or medical device.
• Redistribute product outside of qualified research settings.
• Use the site in violation of any law or these Terms.

6. Intellectual Property

All content on this site — including logos, imagery, text, and product data — is the property of Athena Research Labs LLC or its licensors and is protected by U.S. and international intellectual property laws. No license is granted except as necessary to browse the site.

7. Disclaimer of Warranties

Materials are provided "as is" and "as available" without warranty of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement, except as expressly stated in the Refund Policy.

8. Limitation of Liability

To the maximum extent permitted by law, Athena Labs' aggregate liability arising out of or related to any product or use of this site is limited to the amount you paid for the product giving rise to the claim. Athena Labs is not liable for indirect, incidental, special, or consequential damages.

9. Indemnification

You agree to defend, indemnify, and hold harmless Athena Research Labs LLC and its affiliates from any claim, damage, or expense arising from your misuse of any product or breach of these Terms.

10. Governing Law

These Terms are governed by the laws of the State of Nevada, without regard to conflict-of-law principles. Any dispute will be resolved exclusively in the state or federal courts located in Washoe County, Nevada.

11. Changes

We may update these Terms at any time. Continued use of the site after changes constitutes acceptance of the revised Terms.
